Welcome to ClarOps. These Terms of Service (“Terms”) govern your use of our consulting services and website.

1. Acceptance of Terms

By accessing or using ClarOps services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

2. Services Description

ClarOps provides professional DevOps and Cloud consulting services, including but not limited to:

  • CI/CD Pipeline implementation
  • Kubernetes and container orchestration
  • Cloud infrastructure design and optimization
  • Monitoring and observability solutions
  • Security consulting
  • DevOps training and workshops

3. Service Agreement

3.1 Consultation Process

  1. Initial Consultation: Free 30-minute consultation to discuss your needs
  2. Proposal: Detailed proposal with scope of work and pricing
  3. Agreement: Written service agreement before work begins
  4. Execution: Professional delivery of agreed services
  5. Support: Post-implementation support as agreed

3.2 Client Responsibilities

Clients are responsible for:

  • Providing accurate information about their infrastructure and requirements
  • Timely access to necessary systems and resources
  • Clear communication of objectives and constraints
  • Timely feedback during project execution
  • Payment according to agreed terms

4. Intellectual Property

4.1 Client Materials

All materials, data, and information provided by the Client remain the property of the Client.

4.2 Deliverables

Upon full payment, all custom code, configurations, and documentation created specifically for the Client become the Client’s property.

4.3 General Knowledge

ClarOps retains the right to use general knowledge, skills, and experience gained during service delivery for other projects.

5. Confidentiality

Both parties agree to:

  • Keep confidential information private
  • Not disclose sensitive information to third parties
  • Use confidential information only for agreed purposes
  • Return or destroy confidential information upon request

6. Payment Terms

6.1 Pricing

  • Pricing is outlined in individual service agreements
  • Rates may vary based on project complexity and scope
  • All prices are in PLN or EUR as agreed

6.2 Payment Schedule

  • Projects: Typically 50% upfront, 50% upon completion
  • Retainer: Monthly payment in advance
  • Consulting: Hourly or daily rates as agreed

6.3 Late Payment

Late payments may result in:

  • Service suspension
  • Interest charges on overdue amounts
  • Legal action to recover owed amounts

7. Service Level & Warranties

7.1 Professional Standards

ClarOps commits to providing services:

  • With professional skill and care
  • In accordance with industry best practices
  • Meeting agreed specifications and timelines

7.2 No Guarantees

While we strive for excellence, we cannot guarantee:

  • Specific business outcomes or results
  • 100% uptime or zero downtime
  • Compatibility with all third-party systems

8. Limitation of Liability

To the maximum extent permitted by law:

  • ClarOps liability is limited to the fees paid for the specific service
  • We are not liable for indirect, consequential, or incidental damages
  • We are not responsible for client’s business losses or data loss beyond our direct control

9. Termination

9.1 By Client

Clients may terminate services with:

  • 30 days written notice for ongoing services
  • Immediate termination for project-based work (with payment for completed work)

9.2 By ClarOps

We may terminate services if:

  • Payment terms are not met
  • Client breaches these Terms
  • Continuation of service is not feasible

10. Changes to Infrastructure

ClarOps is not responsible for:

  • Changes made by client or third parties after service delivery
  • Issues arising from modifications not performed by ClarOps
  • Problems caused by inadequate maintenance post-delivery

11. Dispute Resolution

In case of disputes:

  1. Direct Communication: First attempt to resolve through direct discussion
  2. Mediation: Consider mediation if direct resolution fails
  3. Legal Action: As a last resort, governed by Polish law

12. Changes to Terms

ClarOps reserves the right to modify these Terms at any time. Changes will be:

  • Posted on this page with updated date
  • Communicated to active clients
  • Effective 30 days after posting

13. Data Protection

ClarOps complies with:

  • GDPR (General Data Protection Regulation)
  • Polish data protection laws
  • Industry security standards

14. Force Majeure

ClarOps is not liable for delays or failures due to circumstances beyond reasonable control, including:

  • Natural disasters
  • War or terrorism
  • Internet or cloud provider outages
  • Government actions or regulations

15. Independent Contractor

ClarOps operates as an independent contractor. Nothing in these Terms creates:

  • Employment relationship
  • Partnership or joint venture
  • Agency relationship

16. Entire Agreement

These Terms, together with any service agreement, constitute the entire agreement between parties and supersede all prior agreements.

17. Severability

If any provision of these Terms is found invalid, the remaining provisions continue in full force and effect.
